Scope and acceptance
These Website Terms of Service (the “Terms”) govern your access to and use of the public Autometric websites and pages
that link to these Terms, including autometric.ai and related marketing, trust, legal, comparison, and documentation
entry pages (collectively, the “Website”). These Terms do not govern your access to or use of Autometric’s application,
hosted services, free trials, demos, pilots, support services, paid plans, order forms, statements of work, or master
subscription agreements, including app.autometric.ai, all of which are subject to separate click-accepted or executed
terms.
By accessing or using the Website, you represent that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to be bound by them. If you access or use the Website on behalf of an entity, you represent that you have authority to bind that entity, and “you” includes that entity. The Privacy Policy is incorporated into these Terms by reference. If you do not agree, do not use the Website.
Informational materials only
The Website is provided for information, commercial evaluation, and business contact purposes. Pricing, feature descriptions, product screenshots, deployment options, security statements, compliance descriptions, trust materials, comparison pages, roadmap references, downloadable materials, and similar content are informational only. They may change without notice and do not create warranties, service commitments, legal advice, audit outcomes, or any obligation to deliver a particular feature, integration, certification, or commercial term.
Product and service carve-out
Any product or service relationship with Autometric must be governed by the separate terms presented in the applicable signup flow, order form, subscription agreement, or other written contract. If there is a conflict between these Terms and any signed or click-accepted service agreement, the service agreement controls for the applicable product or service.
Limited license and intellectual property
Subject to your compliance with these Terms, Autometric, LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website and Website materials solely for your personal or internal business evaluation of Autometric. You may not copy, modify, distribute, publish, republish, create derivative works from, publicly display, sell, sublicense, or commercially exploit the Website or any Website materials except as expressly permitted in writing.
Autometric and its licensors retain all right, title, and interest in the Website, its design, copy, screenshots, graphics, logos, trademarks, software, and other materials. No right or license is granted except as expressly stated in these Terms.
Prohibited uses
You may not, and may not allow any third party to:
- use the Website in violation of applicable law or regulation;
- impersonate any person or entity, misrepresent your affiliation, or submit false or misleading information;
- interfere with, disrupt, damage, overburden, or impair the Website or related systems;
- probe, scan, test, or bypass security, authentication, rate limits, robots controls, or access restrictions;
- use bots, crawlers, scrapers, spiders, harvesting tools, framing, mirroring, data-mining tools, or other automated
means to access or extract Website content except standard search indexing or other access expressly permitted by
robots.txtor by Autometric in writing; - reverse engineer, decompile, disassemble, or attempt to discover source code or underlying ideas from any part of the Website except where applicable law expressly prohibits that restriction;
- copy or use Website materials for competitive benchmarking, competitive monitoring, resale, derivative databases, lead generation, spam, advertising, or solicitation;
- remove or alter any proprietary notice on the Website; or
- use the Website or Website materials to develop, train, fine-tune, evaluate, benchmark, or improve any machine
learning model, artificial intelligence system, dataset, embedding system, or similar technology, including using
screenshots, demo materials, documentation excerpts, or Website metadata, except where such access is expressly allowed
in
robots.txtor in a separate written permission from Autometric.
Third-party services
The Website may link to third-party websites, applications, calendars, trust-center tools, documentation hosts, payment flows, or other services. Your use of any third-party service is at your own risk and subject to that provider’s terms and privacy practices. Autometric is not responsible for any third-party service and does not endorse or warrant it.
Feedback and inbound materials
If you voluntarily send Autometric feedback, comments, ideas, suggestions, demo-request materials, resumes, emails, or other inbound materials through or in connection with the Website (collectively, “Inbound Materials”), you grant Autometric a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and otherwise exploit those Inbound Materials for the limited purpose of operating, marketing, supporting, and improving Autometric’s business, products, and services. This license is subject to the Privacy Policy with respect to personal information.
You represent that you have the rights necessary to provide the Inbound Materials and that doing so does not violate any law or third-party right. Do not send confidential information through the Website unless Autometric has separately agreed in writing to receive it under confidentiality obligations.
Suspension, termination, and investigations
Autometric may suspend, block, or terminate your access to the Website at any time, with or without notice, if Autometric believes you have violated these Terms, created risk for the Website or others, or if suspension is necessary to comply with law or protect rights, systems, users, or property. Autometric may investigate suspected misuse and may disclose information as reasonably necessary to enforce these Terms, comply with law, respond to lawful requests, or protect Autometric and others.
Disclaimers
THE WEBSITE AND ALL WEBSITE MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOMETRIC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, COMPATIBILITY, AND RESULTS. AUTOMETRIC DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL REMAIN AVAILABLE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOMETRIC AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOMETRIC’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID, IF ANY, FOR THE SPECIFIC WEBSITE-RELATED SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
Indemnity
You will defend, indemnify, and hold harmless Autometric, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any third-party claims, actions, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Website, your Inbound Materials, your violation of these Terms, your violation of law, or your violation of any third-party right.
Copyright complaints and repeat infringers
If you believe material on the Website infringes your copyright, send a notice to Autometric’s designated copyright agent

Your notice must include the information required by the Digital Millennium Copyright Act, including identification of the copyrighted work, identification of the allegedly infringing material, your contact information, a good-faith statement, a statement under penalty of perjury, and your physical or electronic signature. Counter-notices must include the information required by the DMCA and may be sent to the same email and mailing address. Autometric may remove or disable material alleged to be infringing and may terminate repeat infringers where appropriate.

Under California Civil Code Section 1789.3, California residents may contact Autometric regarding complaints about the Website at:

There is currently no fee charged for access to the Website itself. Informal dispute resolution
Before either party starts arbitration or files a claim in court, that party must first send the other a written notice
of the dispute describing the claim and requested relief. You must send notices to legal@autometric.ai and a copy by
mail to:

The parties will attempt in good faith to resolve the dispute informally for 60 days after notice is received. If the dispute is not resolved within that period, either party may proceed as permitted below.
Arbitration and class action waiver
Except for claims that qualify for small claims court, claims seeking injunctive relief for intellectual property, confidentiality, or unauthorized-access violations, or claims that applicable law does not permit to be arbitrated, you and Autometric agree that any dispute, claim, or controversy arising out of or relating to the Website or these Terms will be resolved by final and binding arbitration on an individual basis only.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. The arbitration will be administered by National Arbitration and Mediation (“NAM”) under its applicable rules. The arbitrator may award the same individualized relief that a court could award, but may do so only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s claim.
YOU AND AUTOMETRIC WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. Unless you and Autometric agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not preside over any representative proceeding.
If 25 or more similar arbitration demands are filed against Autometric by or with the assistance of the same or coordinated counsel, consistent with due process and NAM’s rules those demands will be administered in coordinated batches of up to 50 claimants each, with one arbitrator assigned per batch, and later-filed batches stayed until the preceding batch is resolved. Either party may ask a court of competent jurisdiction to enforce this batching provision.
If a claim for public injunctive relief cannot lawfully be waived or arbitrated under applicable law, then that claim may proceed in a court of competent jurisdiction on an individual basis only, and the remaining claims will be arbitrated.
Governing law and venue
These Terms are governed by the laws of the State of Wyoming, excluding its conflict-of-laws rules, except that the Federal Arbitration Act governs the arbitration provision above. For any dispute not subject to arbitration, for any action to compel arbitration, stay proceedings pending arbitration, confirm or vacate an arbitral award, or seek injunctive relief permitted under these Terms, you and Autometric consent to the exclusive jurisdiction of the state and federal courts located in [principal Wyoming county], Wyoming.
Electronic communications and changes
By using the Website, you consent to receive notices from Autometric electronically, including by email or by posting on the Website, where permitted by law. Autometric may update these Terms from time to time by posting a revised version on the Website. Changes become effective upon posting unless a later date is stated. Your continued use of the Website after the effective date of revised Terms constitutes acceptance of the revised Terms.
Miscellaneous
These Terms are the entire agreement between you and Autometric regarding the Website and supersede prior or contemporaneous understandings about the Website. If any provision is held unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Failure to enforce any provision is not a waiver. You may not assign these Terms without Autometric’s prior written consent. Autometric may assign these Terms without restriction in connection with an affiliate transaction, financing, or sale of assets. Autometric is not liable for delay or failure caused by events beyond its reasonable control. Sections that by their nature should survive termination will survive. English-language terms control over any translation.
